Ethan Allen shareholders vote for 3 nominees of DGB Investment, 2 of company’s 5 nominees

DANBURY, Conn. – Ethan Allen Interiors Inc. today announced the preliminary voting results of its 2026 Annual Meeting of Stockholders (the “2026 Annual Meeting”).

Based on the preliminary vote count provided by Georgeson LLC, the company’s proxy solicitor, the company believes stockholders have elected two of the company’s five nominees, Maria Eugenia Casar and Tara I. Stacom, to the company’s board of directors. Stockholders also appear to have elected three of the nominees proposed by DGB Investment, Inc. (“DGB”), Douglas G. Bergeron, Kristine Miller and Stephen Oblak.

Preliminary results also indicate that stockholders voted to approve the compensation of the company’s named executive officers (say-on-pay proposal) and the ratification of CohnReznick LLP as the company’s independent registered public accounting firm for the 2027 fiscal year.

The results announced today are preliminary and subject to certification by the independent inspector of elections. Final voting results will be disclosed in a Form 8-K filed with the Securities and Exchange Commission and posted on the company’s investor relations website.

Doug Bergeron, the investor who along with his affiliates and associates owns about 5.2% of Ethan Allen Interiors Inc., issued the following statement regarding the preliminary results.

“Today marks a new chapter in Ethan Allen’s storied history,” he said. “Throughout this campaign, we asked shareholders to give us the mandate to restore accountability, revitalize the business and return Ethan Allen to profitable growth. Based on the preliminary results, shareholders have delivered that mandate. Trust is fundamental to any successful business, whether between shareholders and the Board or employees and their leadership, and we intend to earn and maintain that trust every day.

“Our focus now shifts from making the case for change to delivering it. We look forward to working constructively with our fellow directors to create lasting value at this iconic American brand. We will also work with Mr. Kathwari to ensure an orderly transition for Ethan Allen’s employees, customers and partners. We recognize and appreciate his decades of service to the Company and the role he has played in building Ethan Allen into the brand it is today.

“To Ethan Allen’s employees, thank you for your dedication to this Company and the central role you play in upholding its legacy. Our goal is to build on Ethan Allen’s strengths and provide the leadership, resources and strategic direction required to empower you to do your best work. We will bring a high level of energy and determination to the boardroom, and we expect to be judged by our results. We are ready to get to work.”
